CONTEST RULES

I. GENERAL

General information

The Organizer (defined below) is holding this WG Labs Dev Contest (“Contest”) to attract more developers to its Wargaming Labs project (www.wglabs.ru and www.wglabs.com) (“WG Labs”). The game which receives the highest score from the WG Labs jury (“Jury”) after the Contest will be the winner. The winner will receive the Contest prize (defined below) only if they comply with these Rules.

Participation rules

This document contains entire participation rules, including requirements to contest participants, code of conduct, and rules for the announcement of contest results and the distribution of prizes (“Rules”) as posted at www.wglabs.com. These Rules are not a public offer. NO ADDITIONAL PURCHASE OR PAYMENT OF ANY KIND IS REQUIRED TO ENTER OR WIN THIS CONTEST. NO PURCHASE WILL IMPROVE YOUR CHANCES OF WINNING.

By completing the application form and uploading their game to www.wglabs.com via special link, participants confirm they accept and agree to these Rules and will comply with them during the entire Contest. The participant shall immediately quit the Contest if they disagree with the Rules or amendments thereto.

By entering the Contest, participants also confirm that they have accepted the WG Labs rules (“WG Labs Rules”). In case of any discrepancies between these Rules and the WG Labs rules, the Rules will prevail.

PLEASE NOTE THAT THE APPLICATION FORM AVAILABLE AT WGLABS.COM IS FOR CITIZENS OF COUNTRIES OUTSIDE THE CIS. IF YOU ARE FROM THE CIS BUT CONTINUE TO PARTICIPATE IN THE CONTEST ON THIS WEBSITE, YOU WILL BE SUBJECT TO THE LEGAL NORMS AND REQUIREMENTS OF THE RULES PUBLISHED ON WGLABS.COM. LEGAL NORMS AND REQUIREMENTS OF THE RULES EFFECTIVE IN YOUR AREA WILL NOT APPLY.

Amendments to these Rules

The Organizer may amend these Rules unilaterally at any time. In case of any contradiction, such amendments shall prevail over the Rules.

If you continue to participate in the Contest after the Organizer has amended the Rules, you agree to the amendments, and such amendments will apply to your participation in the Contest starting from the first day of the Contest.

Contest form and venue

The Contest is held online at www.wglabs.ru (for citizens of the CIS countries) and www.wglabs.com (for other participants).

Contest dates and time

The Contest dates are from 3 March 2016 (00:00 CET) to 30 April 2016 (23:59 CET) (“Contest dates”). The Jury will not consider any games submitted outside this period. Participants may not change their games after this period.

Announcement of results

Following the Contest results, the Organizer will choose one game which has received from the Jury the highest score of all the games uploaded to www.wglabs.ru and www.wglabs.com.

The Jury will evaluate the games from 1 May 2016 to 29 May 2016 (“Initial Period), and the name of the winning project will be published on 30-31 May 2016 at www.wglabs.ru and www.wglabs.com. The winner will receive an additional email notification of the Contest results. If the Jury are unable to announce the Contest results after the Initial Period and require extra time to choose the winner, the Jury may extend the Initial Period for no more than 14 business days, subject to placement by the Organizer of a prior notice to that effect at www.wglabs.ru and www.wglabs.com. Besides, the Organizer will specify exact dates on which the name of the winning game will appear on both websites.

The Jury will choose the best game by a majority vote according to the following criteria:

  • originality of the game concept and gameplay;
  • well-thought-out game web-binder concept;
  • visual design structure and quality;
  • size of prospective target audience; and
  • compliance with these Rules.

The Organizer may also select one or several games out of competition for joint launch and promotion to customers. However, the Organizer doesn’t assume any obligations in relation to the launch, promotion and support of any game submitted for the Contest. If the Organizer is interested in any game project, it will contact the developer(s) and discuss cooperation terms individually outside the Contest. The Organizer does not give any warranties except as expressly set forth in these Rules.

Prize money

The Contest participant with the best game according to the Jury shall receive a prize of ten thousand US dollars (USD 10,000), inclusive of all and any taxes and levies.

The winner shall be wholly responsible for paying all applicable taxes, other expenses or costs not specified in the prize description associated with receipt of the prize.

II. CONTEST PARTICIPANTS. REQUIREMENTS TO CONTEST PARTICIPANTS

Participant submitting their games for the Contest must meet the following requirements of the Organizer:

Participants shall comply with the WG Labs rules and these Rules.

The Contest is open for game developers who are legal persons, sole proprietors or physical persons at least 18 years of age (both participants and other developers specified in the application form as co-developers). The Organizer may demand that physical persons present their ID and legal persons/sole proprietors, their certificate of good standing. The requested documents shall be provided no later than the day following the request.

The Organizer shall have the right to reject any applicant or disqualify any participant already admitted to the Contest without providing the above documents and disregard their game when choosing the winner if such persons fail to provide the above documents before the Contest is finished.

Notwithstanding the foregoing, the following are NOT ELIGIBLE to participate in this Contest: (i) the Organizer, its licensees and respective affiliates and agents (the “Organizer’s Parties”); (2) employees, officers, directors and agents of the Organizer’s Parties; (ii) parents, spouses, children, brothers and sisters of employees, officers, directors and agents of the Organizer’s Parties; and (iii) individuals living in the same household as employees, officers, directors and agents of the Organizer’s Parties. 

Games submitted to the Organizer under the WG Labs project before the Contest may not be submitted for the Contest.

III. PARTICIPATION IN THE CONTEST

To enter the Contest, the participant shall complete the application form and upload the game developed by the participant to the form. One participant may submit several games. Games presented at the Contest must be intended by the participants for commercial promotion in the market among consumers. 

Games are software products created and uploaded to the application form by participants on or before 30 April 2016 (23:59 CET) inclusive. Games must satisfy the following criteria:

  • platforms: PC (Windows, Mac OS or Linux), mobile (iOS, Android or Windows 10);
  • monetization model: free-to-play or pay-to-play;
  • development stage: alpha or later (released projects are not accepted).

In addition, games must feature or be expected to feature at least three of the following characteristics:

  • synchronous or asynchronous PvP (for games with competitive mechanics);
  • user-friendly leveling system (daily quests, development trees, etc.);
  • collected items;
  • randomly generated content (maps and objects);
  • micromanagement elements and/or RPG.

Applications and games considered offensive or defamatory or violating privacy or other personal rights of third parties shall not be accepted. Applications and games may not include: (a) profanity, nudity or other similar materials; (b) false or defamatory statements about any person or third party; (c) third party trademarks which suggest affiliation with any trademark owner without permission of such owner or that dilute the value of any trademark; (d) obscene, indecent, violent, sexually explicit, abusive, discriminatory, racially inflammatory or other morally or legally objectionable materials. The participant will be dismissed if their application or game includes any of such prohibited elements.

The game uploaded with the application form may be edited and updated throughout the Contest up to 30 April 2016 (23:59 CET), inclusive. The Jury will not consider any applications without games.

Participants may quit the Contest at any time. If the Organizer receives a refusal to participate after the games submission deadline of 30 April 2016 (23:59 CET), the respective participant will not receive the prize in case of winning.

The Organizer may require the winner to provide a written agreement to accept these Rules.

The Organizer may disqualify any participant who provides unreliable or incomplete information in the application form or fails to provide the required documents.

IV. RIGHTS TO THE GAME

By participation in the Contest, the participant warrants and represents that all rights to the game belong to them and their co-developers specified in the application form, that the game does not violate any third party rights, and that its development complies with the applicable law. Contest participants warrant and represent that all co-developers specified in the application form have read, accepted and meet the requirements of the Rules and that they have agreed to the participation of the game in the Contest, appearance of their name and short biography in the application form, use of the game and its elements (including but not limited to information materials, screenshots and videos) for advertising purposes, and receipt of the prize by the participant in case of winning.

EACH PARTICIPANT AGREES TO INDEMNIFY AND HOLD HARMLESS THE ORGANIZER, THE ORGANIZER’S PARTIES AND AFFILIATES FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, DAMAGES AND/OR LIABILITIES (INCLUDING REASONABLE ATTORNEY FEES AND EXPENSES) THAT MAY BE ASSERTED AGAINST OR INCURRED BY ANY OF THEM AT ANY TIME, IN CONNECTION WITH PARTICIPANT’S GAME, OR THE USE THEREOF, AND/OR BY PARTICIPANT’S BREACHES OF ANY REPRESENTATION, WARRANTY OR COVENANTS ASSOCIATED WITH THIS CONTEST.

In case the Organizer suffers any losses or expenses caused by disputes with third parties or third-party claims or suits, including but not limited to co-developers specified in the application form, the participant shall fully compensate the Organizer for all such losses and expenses.

By entering the Contest, each Participant grants the Organizer and its licensees (if any) the irrevocable, perpetual, royalty-free, non-exclusive, transferable and sub-licensable right and license to use, display, copy, edit, modify, create derivative works of, publish, distribute and otherwise exploit the content (which includes only information materials, screenshots and videos) of and embodied in their game project submitted to the Organizer in the course of this Contest in any and all media (whether now existing or hereafter devised), in any language, throughout the world, in any broadcast outlet and in any manner, for advertising and promotional purposes ONLY without further approval or consideration.

V. AWARDING THE PRIZE

To receive the prize, the winner must provide their bank details to be used for transferring the prize money. The Organizer may also require an invoice from the winner for the payment of the prize amount. The Organizer shall not be liable for non-compliance with the requirements of the Rules in relation to the transfer of the prize if the winner fails to provide such information or invoice required for the payment of the prize within 15 banking days from receiving the Organizer’s request to that effect.

The Organizer shall transfer the prize within 30 calendar days from receiving reliable and complete bank details and documents required for transferring the prize money. The prize shall be paid in US dollars. The participant shall provide bank details which enable the participant’s bank to credit the prize in US dollars. If the payment is cancelled or returned or if the prize may not be credited to the bank account specified by the participant for reasons other than actions of the Organizer, the participant shall be fully liable and bear all additional costs associated with repeated payment. Obligations of the Organizer shall be deemed fulfilled when the money is debited from the bank account of the Organizer.

All taxes and fees are the sole responsibility of the winner. If the winner fails to meet the requirements to participants or rejects the prize, the prize will not be awarded to such winner, and the Organizer may, at its sole discretion, decide whether the prize will be awarded to another participant. If the Organizer must pay any taxes according to the applicable law, the Organizer will withdraw such taxes from the prize and transfer the remaining amount to the winner.

The participant shall be solely responsible for the distribution of the prize among co-developers specified in the application form. The Organizer shall neither participate in nor be responsible for such distribution.

VI. PERSONAL DATA

Any information about you which you provide for the Contest (“Information About You”) shall be used for the purposes of your participation in the Contest, including the prize receipt if you win and comply with the Rules. You also agree that Information About You may be disclosed to third parties if required for the prize transfer or under the applicable law. Participants confirm that they will not provide the Organizer with their or third parties’ personal data (including names, surnames and patronymics, copies of IDs and identification numbers) without the Organizer’s request to that effect. We will automatically delete any unsolicited personal data that you provide to us.

By accepting these Contest Rules, each Participant grants the Organizer and its licensees the right to use the name of the participant and/or information about the prize and/or part thereof for the purposes of promotion, advertising and/or awareness raising with respect to the Contest in any media throughout the world, in perpetuity and without compensation or notice to, or subsequent consent of, the Participant. 

VII. LIMITATION OF LIABILITY

The Organizer bears unlimited liability for damages resulting from death, injury, lack of guaranteed qualities, or fraudulent intent.

The Organizer bears unlimited liability for willful damages or gross negligence.

The Organizer’s liability for slight negligent breaches of core contractual duties shall be limited to the amount of the typically foreseeable damage, except as described in the two preceding paragraphs. The core contractual duties shall abstractly mean the most important duties whose accomplishment is necessary for proper fulfilment of the contract and on whose fulfilment a party to the contract may constantly rely.

Liability under applicable law remains unaffected.

Claims for damages are accepted within one (1) year, unless other limitation period is provided for by law.

VIII. GENERAL TERMS

The Contest is regulated by these Rules and is governed by the laws of the Republic of Cyprus. To the extent the local law deprives the participant of the protection afforded by the provisions whose limitation is not provided for by the laws of the country in which the Participant permanently resides, the law of that country will apply.

If any provision of these Rules is invalid or unenforceable, this will not affect the validity or enforceability of other provisions. If any provision is stated to be invalid or otherwise unenforceable or illegal, these Rules shall remain in force and shall be construed in accordance with their terms as if the invalid or illegal provision was not contained herein.
